These Terms of Use (hereinafter referred to as “Terms”) govern the purchase of products and use of services provided by EzyParts, Inc. (ezy-parts.com) (hereinafter referred to as “the Company”) by customers (hereinafter referred to as “Customers” or “Users”) through this website, order forms, or other media.

For the purposes of these Terms, a “Customer” refers to:

  • an individual who has applied for and received approval for use of the services in accordance with the Company’s registration procedures, and any organization to which such individual belongs; or
  • an individual who has purchased products or used services provided by the Company, as well as any corporation, institution, or organization to which such individual belongs.

These Terms constitute the entire agreement regarding the sale of products and services, and supersede all prior proposals, negotiations, discussions, agreements, and representations, whether oral, written, electronic, or otherwise, including industry customs and prior dealings between the Company and Customers.

By placing an order or registering as a Customer via the website, email, phone, fax, or any other method, Customers agree to all provisions of these Terms (including Articles 11–20 regarding orders and transactions), and a binding agreement is formed between the Company and the Customer or affiliated organization.

The Company may treat actions taken by a Customer belonging to an organization as actions duly authorized by that organization, and the term “Customer” may be interpreted as referring to such organization.

Article 1: Changes to Terms

  1. The Company may revise these Terms at its discretion at any time. Changes will be announced via the website or other appropriate means with reasonable notice.
  2. Revised Terms shall take effect for all Customers upon being posted on the website.
  3. Continued use of the service after changes, or failure to object or cancel within two weeks, constitutes acceptance.

Article 2: Notifications

The Company may notify Customers via online postings or other appropriate methods. Such notifications take effect upon posting.


Article 3: Changes to Services

The Company may modify, add, suspend, or discontinue services without prior notice. The Company bears no liability for any resulting damages.


Article 4: Service Interruption Disclaimer

The Company shall not be liable for service delays or interruptions caused by events including but not limited to:

  • natural disasters, pandemics, fire, power outages, war, labor disputes
  • system maintenance or updates
  • telecommunications service disruptions
  • other operational or technical reasons

Article 5: Personal Information

  1. Personal information is handled in accordance with the Privacy Policy.
  2. Customers agree to such handling and any updates to the Privacy Policy.
  3. The Company may create anonymized statistical data for service improvement and share it with partners.

Article 6: Intellectual Property

All intellectual property rights belong to the Company or rightful third parties.
No rights are transferred to Users by use of the service.
Reproduction or commercial use without permission is prohibited.


Article 7: Prohibition of Assignment

Customers may not transfer rights or obligations to third parties.


Article 8: Customer Registration

The Company may reject or cancel registration if:

  • false information is provided
  • duplicate registrations exist
  • past violations occurred
  • payment defaults occurred
  • other reasons deemed inappropriate

Registration remains valid until withdrawal.


Article 9: Account Management

Customers are responsible for managing their ID and account activity.
All actions under an account are deemed the Customer’s responsibility.


Article 10: Withdrawal

Customers may update or cancel registration via designated methods.
The Company may suspend accounts for financial or legal issues.


Article 11: Quotations

Quotations are valid for 5 days unless otherwise specified.
Conditions may change depending on timing and availability.


Article 12: Contract Formation

A contract is formed upon order confirmation.
The Company may cancel within 5 business days if procurement is not possible.


Article 13: Orders

Orders can be placed 24/7, but processing occurs during business hours.
Orders are confirmed once inventory or supplier commitment is secured.


Article 14: Shipping and Delivery

  • Delivery is generally limited to Japan
  • Shipping delays may occur
  • The Company selects carriers unless otherwise agreed
  • Partial shipments are permitted
  • Customers cannot refuse delivery

Article 15: Export Restrictions

Products may not be exported outside Japan without prior approval.
Customers must comply with export regulations.


Article 16: Payment

Accepted methods:

  • Bank transfer (advance payment)
  • Credit card
  • Invoice payment (approved customers)

Late payments may incur interest charges.
Customers may not offset or deduct payments.


Article 17: Corporate Payment Responsibility

Organizations bear payment responsibility for their affiliated users.


Article 18: Ownership and Risk

Risk transfers upon delivery.
Ownership transfers upon full payment.


Article 19: Cancellation and Returns

  • Orders cannot be changed or canceled after confirmation
  • Returns are accepted only under specific defect conditions
  • Unused items only
  • Return shipping paid by Company if fault is confirmed

Article 20: Warranty

Warranty applies only within manufacturer scope.
Market inventory items follow separate limited conditions.

Warranty excludes:

  • misuse or negligence
  • external factors
  • resale
  • overseas use

Article 21: Customer Responsibility

Customers are responsible for resolving disputes and compensating damages caused by their use.


Article 22: Disclaimer

The Company is not liable for:

  • security breaches
  • improper product use (e.g., medical, military, aerospace)
  • indirect or consequential damages
  • intellectual property infringement claims
  • export violations

Article 23: Anti-Social Forces

Customers must not be affiliated with organized crime or similar entities.
Violation may result in service termination.


Article 24: Governing Law

These Terms are governed by Japanese law.
The Nagoya District Court has exclusive jurisdiction.
